General Meeting of Shareholders (GMS)

GMS is the Company’s organ with authorithies which not given to the Board of Commissioners or Board of Directors. GMS is a means for shareholders to take important decisions related to the capital invested in the company, having regard to the provisions of the Articles of Association and regulations. The decisions taken at the GMS based on long-term interests of the Company.

Authorities of the GMS including appoint and dismiss members of the Board of Commissioners and Board of Directors; evaluate the performance of the Board of Commissioners and Board of Directors; approved amendments to the Articles of Association; approve the annual report; determine the form and amount of remuneration for the Board of Commissioners and Board of Directors; and make decisions related to corporate action or other strategic decisions proposed by the Board of Directors. The decisions taken at the GMS based on the interests of the Company. Without prejudice to the powers and authority held by the GMS, GMS or shareholders can not intervene on the implementation of the duties, functions and powers of the Board of Commissioners and Board of Directors to carry out the obligations and rights in accordance with the Articles of Association and prevailing regulations. GMS decision making is done fairly and transparently.
